On November 10, 2006 nSpire Health completed the acquisition of Ferraris Respiratory. nSpire Health was exclusively formed for this purpose by management and a team of highly knowledgeable private investors experienced in investing in and developing bioscience businesses. The nSpire Health Board of Directors named Michael S. Sims, President & CEO and David C. Jackson, Executive Vice President & CFO. In a recent letter to customers Michael Sims stated: "This is an exciting time for our employees and customers. In the past few months alone we have increased our global workforce to over 230 employees. Our balance sheet is strong. We have growing net assets and are debt free. The Company's Headquarters will remain in Colorado with principal facilities located in the United Kingdom and Germany." Immediately following the acquisition, the company completed a private placement raising approximately $8 million dollars dedicated to support growth, accelerate research and product development activities, and expand customer sales, service and training support around the globe. When asked about the company's prospects for growth Mr. Sims replied; "our core lab business provides services to the world's preeminent pharmaceutical companies and serves healthcare professionals in over 50 countries. We are the worldwide leader in electronic lung health home monitoring sales, having sold more than a million home health solutions and recently introduced proprietary technology that will dramatically accelerate respiratory drug development and improve disease staging and treatment planning for patients with respiratory illnesses. Since August of 2004, our core businesses have experienced growth of nearly 20% per year. I expect our double digit sales growth this year will continue to approach 15%, while our Services businesses will grow at a compound annual rate of over 40%."
