Five Star Products, Inc. (Five Star) is engaged in the wholesale distribution of home decorating, hardware and finishing products. The Company serves over 3,500 independent retail dealers in 12 states. Five Star also services the Mid-Atlantic States, as far south as North Carolina. Five Star operates two distribution centers, located in Newington, Connecticut and East Hanover, New Jersey. As of December 31, 2007, Five Star is a majority owned subsidiary of National Patent Development Corporation (NPDC). NPDC provides finance, tax, business development, insurance and employee benefit administration services to the Company. As of March 25, 2008, NPDC owned approximately 76.4% of Five Star. On April 5, 2007, Five Star acquired Right-Way Dealer Warehouse, Inc. (Right-Way). The acquisition included all of Right-Way’s Brooklyn Cash & Carry business and operations.
