The J. Jill Group, Inc. (J. Jill) is a multi-channel specialty retailer of women's apparel, including accessories and footwear. The Company has two business segments: retail and direct. Jill entered into an agreement and plan of merger with The Talbots, Inc., (Talbots) and Jack Merger Sub, Inc., a wholly owned subsidiary of Talbots. J.
