White and Williams has been serving the needs of the Firm\'s clients in Delaware since 1989. Our office is located in downtown Wilmington, making it convenient to I-95, Amtrak\'s Northeast Corridor rail service and both the Philadelphia and Baltimore airports. From this location in the heart of New Castle County our lawyers serve the entire state, including the capital of Dover and surrounding Kent County as well as the resort and agricultural communities of Sussex County. The Wilmington office provides a full array of litigation-related services for our clients, including trial, appellate and ADR representation. We have handled a broad spectrum of the commercial and business disputes for which Delaware\'s state and federal courts have become renowned across the country, including insurance coverage disputes, intellectual property, trade secret, and e-commerce matters. Our experienced Delaware trial lawyers also handle a wide variety of healthcare litigation including the defense of hospitals, physicians and other healthcare professionals in medical negligence cases, life, health and disability insurance matters, ERISA litigation, professional liability claims, product liability and toxic tort matters, construction and property damage claims, employment discrimination, injunction actions and other special lawsuits where a client requires immediate relief. Our Creditor\'s Rights Practice Group maintains a strong presence in Delaware, which is the venue of more corporate bankruptcy litigation than any state in the nation. Our bankruptcy lawyers are involved in all aspects of creditor-debtor relations and represent insurance companies, financial institutions, landlords and other public and private investors in connection with the enforcement of their rights as creditors. Our lawyers also represent financially-distressed companies and individuals and other borrowers in work-outs, Chapter 11 reorganizations, Chapter 7 liquidations, and other consensual restructuring of indebtedness. Because our office is located in the same building as the Delaware Bankruptcy Court, we offer a convenient and efficient manner of providing legal services in the rapidly expanding Delaware Bankruptcy arena and frequently serve as local counsel for many out-of-state attorneys. We also provide a broad range of legal services tailored to fit out clients\' business and transactional challenges. Our lawyers assist in developing the optimal legal structure for businesses based on the goals of our clients and the application of our experience in tax and securities law. Whether the preferred structure is a corporation, limited liability company, limited partnership or general partnership, we craft the formation documents, operating agreements, shareholder agreements, partnership agreements or bylaws to suit the unique issues presented by our clients\' business plans. Working with our clients to understand and evaluate the variables and risks in their business operations, we draft and negotiate commercial agreements to properly address and alleviate the risks involved in our clients\' business activities, including purchase and sales agreements, confidentiality and non-disclosure agreements, employment agreements, covenants not to compete and other related agreements.
