For over 70 years, Waller Lansden has built strong relationships in the investment community. We have served as counsel for national and regional underwriters, venture capitalists and financing sources in public and private financings. We are also proud to have participated in the growth of many smaller companies into large national and international corporations. Well before the Sarbanes-Oxley Act of 2002 was passed, Waller Lansden established a Corporate Governance Task Force to advise corporate officers and directors of emerging best practices in corporate governance. After passage of the Act and the extensive revision of listing standards by the New York Stock Exchange and NASDAQ, our corporate attorneys advise clients on all aspects of Sarbanes-Oxley and its progeny. Waller Lansden routinely advises broker-dealer firms and investment advisors in various aspects of their businesses, including formation and licensing, federal and state regulatory compliance and audits and inspections by the SEC and self-regulatory organizations. Our attorneys are also experienced in advising hedge funds regarding formation and operational matters under federal and state securities laws and regulations. In the public finance arena, we have acted as bond counsel and as issuer's, underwriter's and trustee's counsel in numerous significant bond transactions. Our representation has included issuances for for-profit, public and not-for-profit issuers. We have been counsel in both exempt and SEC-registered bond offerings. Our attorneys join industry trade groups to stay abreast of current trends affecting clients in a number of industries.
