Independent Living Systems, LLC ("ILS") is a leading healthcare management company providing innovative community based and managed care servces to companies serving Medicaid and Medicare eligible individuals. The Company's Senior Management Team has extensive experience that includes both managed care and community based services. ILS has developed a unique set of long-term care and managed care strategies in response to new programs approved by Medicaid and Medicare for frail elders, poor and Medicare populations. ILS provides management services to healthcare companies operating in the following areas: Long-Term Care Community Diversion ("Diversion") Program ILS currently provides management services to four companies that participate in Florida's Diversion Program. These services include network development, provider relations, credentialing, claims administration, information systems and reporting. In addition, ILS contracted with El Paso First, a Texas HMO. ILS will provide management services to assist El Paso First operate the Texas STAR+ Program, a program similar to Florida's Diversion Program. Management Services Organization ("MSO") Services ILS and its affiliate, American Health MSO, provide management services to a large south Florida HMO. ILS manages approximately 25,000 pediatric Medicaid and commercial members, and over 3,500 adult Medicare and commercial members. These members have approximately 200 primary care physician centers that coordinate their healthcare needs. ILS provides network development, provider relations and information system services. Long-Term Care Facility services ILS and its non-profit affiliate, Independent Living Community Services, Inc. ("ILCS"), contracted to provide management services to a large ALF. This facility is a newly-constructed 100-bed Assisted Living Facility ("ALF") in Miami, Florida. The campus includes a 27,000 square foot Community Center t hat will provide adult day care, cooked meals, a therapeutic pool, and other community services to the residents of the community. ILS will manage the ALF and Community Center. Special Needs programs : ILS works with HMOs to develop special needs programs for its Medicare members. The benefits in these programs may include community based services such as home-delivered meals, personal care services, Personal Emergency Response Systems ("PERS"), medical supplies and other products and services. In addition, ILS has re-marketing and other relationships with several system development and software companies to provide consulting and other management services to its provider network partners. These services include claims payment systems, credentialing systems, care plan development and management systems, practice management systems and WorkFlow Management system for physician offices, and long-term care facilities.
